Aims to develop a job, reflective and scientific, providing a debate about the institution of partial dissolution in their principles. There are notorious relevance on this subject, whether in legal, social or economic terms. So this work aims to present hypothesis response to the problem: what are the principles and fundamentals that justify only partial dissolution of the limited liability companies? For this purpose, an objective and detailed exposition of the principles and reasons, which prove essential for accurate understanding of the topic will befar-. At the end, we aim to demonstrate that it is institute holder of wide applicability and practical importance for partners, companies and especially citizens.
