The article deals with the issues on promotion and selling of dividends and shares in investment funds according to the Croatian Investment Funds Act and presents a comparative overview regarding the same issues in German and Austrian Law. In key moments, a special attention has been given to the investment funds legal regulations within the European Union Law. Introductory remarks have been concerned with separate types of funds existing in Croatian Law in regards of the above mentioned comparative solutions and the European Union Law. This is important having in mind the article is divided in separate chapters organized according to the existing types of investment funds. Therefore, we can talk about the promotion and selling of dividends and shares in investment funds through a public offering, in open investment funds through a private offering and in investment funds with a capital at risk in regards of the comparative solutions and European Union Law. In the view of promotion of investment funds' dividends and shares, the authorization to promote and conditions of promotion and data pronouncement have been discussed with regard to the principle of banning the promotion of open investment funds with private offering and of funds with a capital at risk. Having in mind selling the investment funds' dividends and shares, a special consideration has been given to persons authorized to sell as well as to modes and conditions of investment funds' dividends and shares selling. Issues concerning the investment funds prospect have been analyzed separately pointing at the comparative solutions. Certain solutions have been proposed to fulfill emptiness in Croatian legal provisions on prospect de lege ferendct, for example provisions on liability concerning prospect according to the Getman Law.
