摘要：

Cross-border M&A are likely to affect national economic security of the host country, it is inevitable for host country to carry out regulation on foreign M&A. In this paper, we compare the cross-border M & A regulatory system of US and China based on public regulation theory which divides regulatory system into three phases: regulatory legislation, regulation enforcement and deregulation. And we put forward some suggestions about the national economic safety regulation building.
