摘要：

We analyse the agency problems between state and firm,between firm and R&D unit,as,well as between R&D unit and R&D staff, then we design the R&D incentive mechanism for firms (esspecially for state-owned firms) from the point of institution transforming, R&D units contract and designing of reward system respectively.
