摘要
An independent director takes two important roles on direction and supervision to the direction board, and he or she can influence the election of top administrators, salary policy, the choice of strategic target, stock interest policy and capital structure decision, etc. The independent director system has been introduced to the stock company of china, which takes good effect to improve the company managing. By analyzing the data including the number of Independent director and pure - capital yield, the number of Independent director and income per stock of 59 sample companies with SPSS10.0, we can get the conclusion that the independent director system hardly has positive correlation with company performance and it requires a long time to reach the standardization of the independent director in China.
