Professor Ian Ramsay is the Harold Ford Professor of Commercial Law and Director of the Centre for Corporate Law and Securities Regulation, Melbourne Law School, University of Melbourne. This research note is part of a keynote address titled "Public and Private Enforcement of Directors' Duties and Securities Laws - What is the Right Balance?" The address was delivered at the Singapore Management University Centre for Cross Border Commercial Law in Asia and the Singapore Academy of Law conference on Comparative Enforcement of Corporate and Securities Laws in Asia, Supreme Court of Singapore, 17 July 2014. The Australian Takeovers Panel data contained in the speech has been updated for the purpose of this research note to 1 March 2015.
